OUR CRITERIA & PROCESS


WHO WE WORK WITH:

We endeavor to work with good and great companies of any size that would like to become Clients of Uriel where Clients can engage us to help them achieve and maintain market share dominance in new or existing market niches. While certain proprietary rights are still available, that relate to highly disruptive proprietary Epic-Uriel Projects, and or that relate to Third-Party Projects offered through Uriel, Clients may be able secure certain proprietary rights relating to said Projects, and or they may be able to secure shares of stock to jointly own subsidiaries that might be formed to develop and commercialize the projects that might be of interest. Such agreements with Uriel Corporation may prove to be the best vehicle for Client companies to achieve their growth and diversification goals.

OUR PROCESS:

Our Process is to have our Clients enter into Intellectual Property (IP) Development & Commercialization Agreements with us for Uriel-Developed Technology, for Joint Uriel-Client-Developed Technology, or for Client-Developed Technology. Uriel endeavors to provide certain resources, talent, and skills that are geared to assist its Clients to enter into Third Party Agreements or to assist its Clients to achieve growth and diversification interests.

Such Agreements are aimed to help Uriel Clients multiply and or scale their operations for further growth, or we may work to assist our Clients to position themselves for mergers, acquisitions, joint ventures, and strategic partnerships. We like to work to assist our Clients to focus on, achieve and or surpass their Management Objectives, or we may be able to assist our Clients to perform a higher value exit if they're interests include a decision to sell a portion or all of their ownership in their businesses.

AGREEMENTS WE ENTER INTO MAY LEAD TO THE FORMATION OF:

1) a Uriel-Client jointly owned Subsidiary where Uriel may grant an exclusive license to the jointly owned Subsidiary for Uriel-Developed IP or Technology,

2) a Uriel-Client jointly owned Subsidiary where both Uriel and Uriel's Client may both grant an exclusive license to the jointly owned Subsidiary for Uriel-Developed, and Client-Developed IP or Technology,

3) an Exclusive Licensing Agreement that may be entered into between Uriel and a Uriel-Client for Uriel-Developed IP or Technology,

4) a Uriel-Third Party jointly owned Subsidiary where Uriel and its Third Party may grant an exclusive license to a jointly formed, jointly owned Uriel-Client Subsidiary, or where Uriel and its Third Party may grant an exclusive licensing or other agreement related to available Uriel-Developed IP, Technology or Projects, and or as such agreements may relate to available Uriel-Third Party IP, Technology or Projects,

5) an Exclusive Licensing Agreement that may be entered into between Uriel and a Uriel-Client for IP, Technology, or Projects provided by Third Parties or from other Clients of Uriel,

6) Other Consulting Agreements.

Uriel's Ultimate Goal is to ride "The Leading Edge and The Forefront of Innovation" in the "War Against Obsolescence" by working with our Clients in an inspired advisory capacity to provide the technology and or the proprietary products they need to disrupt markets of interest, and so that they may Overcome Ever-Changing Market Dynamics, Obstacles, and Issues that hinder our Clients in their struggle for Market Dominance and to provide our Clients with inspired advice so that they may Overcome Issues that limit or restrict their corporate growth.

i) develop and manage highly focused project development and commercialization teams related to each project venture Uriel undertakes,

j) position our Clients to maintain or achieve market niche dominance, or to better compete in new or existing market niches, locally, regionally, nationally, and or internationally,

k) increase our Client's revenue and profitability through licensing agreements and or through jointly formed, jointly owned subsidiaries that relate to available Epic-Uriel Projects, and or to available Third-Party Projects offered through Uriel,

l) jointly develop subsidiaries and or enter into licensing and or other agreements with our Clients as such may relate to Epic-Uriel Projects, and or to available Third-Party Projects offered through Uriel,

m) license specific or exclusive rights to our Clients as such may relate to available Epic-Uriel Projects, and or to available Third-Party Projects offered by Uriel,

n) provide our Clients with products through production and supply agreements as such may relate to available Epic-Uriel Projects, and or to available Third-Party Projects offered by Uriel,

o) position our Clients to seize the exceedingly rare, new, disruptive, and proprietary advantages that relate to available Epic-Uriel Projects, and or to available Third-Party Projects offered by Uriel,

p) spearhead the development and prosecution of IP in all nations of interest as such may relate to available Epic-Uriel Projects, and or to available Third-Party Projects offered by Uriel that a Client may be interested in,

q) give our Clients Rights of First Refusal, concerning Uriel's development and commercialization proposals to allow Uriel's targeted Clients to preempt their competition, by giving our Clients the First Right to close agreements w/Uriel, as such may relate to available Epic-Uriel Projects, and or to available Uriel Third-Party Projects,

r) give our Clients an Exclusive License, a Limited Exclusive License, and or a Sub-License to available Epic-Uriel Projects, or to available Uriel Third-Party Projects,

s) develop one or more prototypes that relate to available Epic-Uriel Projects, or to available Uriel Third-Party Projects, as might be agreed to,

t) provide management consulting services to startups and to companies of any and all sizes,

u) provide the greatest most disruptive proprietary innovations we are led to provide for the greater benefit of our Clients and their customers,

v) enter into good-faith, best-efforts agreements with our Clients,

w) assist and engage in good works for the greater and the greatest good,

x) greatly benefit our Clients as this especially also benefits us at Uriel,

y) work for the greater good, in the best possible good way as we are led by that which is good and greatest,

z) move our Clients from success to success and to ever greater successes with each consulting engagement that Uriel engages in.
