Our Site and Programs are intended to be utilized by adults. THE LAWS OF NEVADA OR ILLINOIS AT URIEL’S AND AT EPIC VENTURES’ SOLE DISCRETION WILL GOVERN THE CONTENT AND MATERIALS CONTAINED IN THE WEBSITES, WITHOUT GIVING EFFECT TO ANY PRINCIPLES OF CONFLICTS OF LAWS AND EXCLUDING THE UNITED NATIONS CONVENTION ON THE INTERNATIONAL SALE OF GOODS. YOU AGREE TO SUBMIT TO THE EXCLUSIVE JURISDICTION OF THE STATE AND FEDERAL COURTS OF NEVADA OR ILLINOIS AS SUCH WILL BE DETERMINED BY URIEL OR EPIC VENTURES IN RELATION TO ANY CLAIM, DISPUTE OR DIFFERENCE ARISING FROM THESE TERMS, AND YOU AGREE TO WAIVE ANY RIGHT OF REMOVAL OR TRANSFER WHETHER DUE TO FORUM NON CONVENIENS OR OTHER REASON.

MONITORING AND ENFORCEMENT

We have the right to remove any User Contributions for any or no reason in our sole discretion. Additionally, we have the right to take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Websites, if known. As part of the registration-checkout (purchase) process, you will create your membership account and provide certain details/personal information; you will agree to certain terms and conditions and to certain agreements required by the site, following completion of which you will receive an email at the address provided containing your login credentials and necessary links to access your account and your pending access to website products and services. Any other products or services will be delivered pursuant to the terms and conditions contained in their relevant respective Purchase Agreements.

Such Systems and platforms may require you to obtain a user license and or updates/upgrades periodically which may incur further costs in order to allow you access to continue effective use. Your ability to access or use the Site, Platforms, SAAS, Systems, and/or Programs may be affected by the performance of such Systems. You acknowledge and agree that it is your sole responsibility to comply with the system requirements of your Systems, and acknowledge that such System use, updates or maintenance may result in fees separate and in addition to any fees incurred by URIEL, and such fees are the sole responsibility of the User.

The Websites, along with all materials contained in the Websites (“Online Material”) are the property of Uriel or Epic Ventures, its licensors, and other providers of Online Material and are protected by United States and international copyright, trademark, trade secret, and other intellectual property or proprietary rights laws. RETURNS AND EXCHANGES

We are not responsible for the delivery of packages to correctional facilities. We will make every attempt to follow the mailing instructions provided by our customers, but we will not issue a refund for orders that do not reach their stated destinations. ARBITRATION

Any controversy or claim arising related to the use of the Site, any software, product, service, this Agreement or your relationship with URIEL which cannot be resolved through such communications or negotiation within one hundred and twenty (120) days shall be resolved by binding, confidential arbitration administered by the American Arbitration Association (“AAA”) and judgment on the award rendered may be entered in any court having jurisdiction thereof. We agree that any claim we may have against you will also be subject to this arbitration provision, except as provided in the Indemnification clause below. The arbitration will be conducted by a single neutral arbitrator in Dupage County, Illinois, unless both parties agree to conduct the arbitration by telephone or written submissions. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction. Both parties expressly waive any right to pursue any class or other representative action against each other.

Failure or any delay in enforcing this arbitration provision in connection with any particular claim will not constitute a waiver of any rights to require arbitration at a later time or in connection with any other claims except that all claims must be brought within one (1) year after the claim arises (such period includes the one hundred and twenty (120) day informal resolution procedures described above). This arbitration provision sets forth the terms and conditions of our agreement to final and binding confidential arbitration and is governed by and enforceable under the Federal Arbitration Act, 9 U.S.C. §§ 1-16, as amended. Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s Rules. In all other respects, the parties shall each pay their own additional fees, costs, and expenses, including, but not limited to, those for any attorneys, experts, documents, and witnesses.

Except where prohibited by law, you agree that any claim that you may have in the future must be resolved through final and binding arbitration. You acknowledge and agree that you are waiving your right to trial by jury, and agree to have any claims decided individually and only through final, confidential and binding arbitration in accordance with this provision.

INDEMNIFICATION

FORCE MAJEURE

SEVERABILITY

If any provision of this Agreement is found by the arbitrator or (if proper) a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall not be affected thereby and shall continue in full force and effect and such provision may be modified or severed from this Agreement to the extent necessary to make such provision enforceable and consistent with the remainder of the Agreement.

TERMINATION

These Terms and this Terms of Use Agreement are effective until terminated by either party. You may terminate this agreement at any time by destroying all materials obtained from the Site and all related documentation and all copies and installations thereof, whether made under the Terms of this Agreement or otherwise. This Agreement will terminate immediately without notice at our sole discretion, should you fail to comply with any term or provision of this Agreement. Upon termination, you must destroy all materials obtained from this site and all copies thereof, whether made pursuant to this Agreement or otherwise. Termination of other Agreements entered into with URIEL are subject to termination clauses of their respective agreements.

The Administrator is either a Customer or a user acting on behalf of a Customer, and having administrative privileges, which include, without limitation: (1) a right to accept notifications, terms and conditions on behalf of a Uriel Corporation® (DBA: Epic Ventures™) Customer, (2) a right to request and disable Additional functions for Uriel Corporation® (DBA: Epic Ventures™) Customer Account, (3) a right to delete users and their User Content and Personal Information, (4) a right to delete Administrator User Accounts, (5) a right to delete the Uriel Corporation® (DBA: Epic Ventures™) Customer Account (as defined below), (6) a right to grant users the status of the Administrator, with the granting of the privileges specified in this clause (if the corresponding functionality is available) (the “Administrator”).

4.3. The Service itself, including any Additional functions, all User Accounts, all Administrator User Accounts, uploaded User Content, Project and Personal Information, and other related information, having (a) specified domain name(s), are deemed to be “Uriel Corporation® (DBA: Epic Ventures™) Customer Account”.

4.4. Hereinafter, the Administrator User Account and User Account are collectively referred to as the “User Account”, unless otherwise noted. After you accept these Terms of Service your User Account will be established.

4.5. You shall choose a personal, non-transferable password. Uriel Corporation® (DBA: Epic Ventures™) may, from time to time, provide you with additional codes or passwords necessary to access and use certain other features or functions of the Website, the Services, and the Products. You may also access the Websites, the Services, and the Products by logging in using an authorized third-party social network account, such as LinkedIn, a Facebook, Twitter, or another available social network account.

4.6. User Accounts may not be “shared” or used by more than one individual. Subject to these Terms of Service, your User Content and or Project Information may be used in any manner that has been authorized by you. You have no right to use User Content of other users in any way. You also acknowledge and agree that Uriel Corporation® (DBA: Epic Ventures™) has no liability of any kind should any person whom you have allowed to have access to your User Content modify, destroy, corrupt, copy, or distribute your User Content or Project Information.

5.2. You are solely responsible for protecting the information on your computer or your other devices for example, by installing anti-virus software, updating your applications, password protecting your files, and preventing third party access to your computer. You understand that the User Content of other users might be corrupted from viruses, software malfunctions or other causes. If you are the end user of any of users and would like to make any requests or queries regarding your Personal or your Project Information, please contact such users directly. For example, if you wish to access, correct, amend, or delete inaccurate information processed by Uriel Corporation® (DBA: Epic Ventures™), please direct your query to the relevant user who controls such data. If requested to remove any end user Personal Information, we will respond, if possible, to such request within thirty (30) days.

Customer Сare.

Uriel Corporation® (DBA: Epic Ventures™) provides support to users through Mentoring and or Other Service Agreements.

Fees and Payment.

7.1. All rights and privileges provided herein to you under these Terms of Service are subject to your payment of applicable fee(s), if any, to Uriel Corporation® (DBA: Epic Ventures™). From time to time, Uriel Corporation® (DBA: Epic Ventures™), and or its consultants, mentors, and or advisors may change the prices for any Services and or Products or said parties may elect to provide the Services and or Products that are currently available free of charge for a fee.

7.2. No Refunds. Customer shall pay Uriel Corporation® (DBA: Epic Ventures™) all fees and or expenses associated with its Subscription Plan or for other Services and or Products that may be made available, and or as such may relate to the use of the Services and the Products. Customer’s payments are not fully or partially refundable unless there is a written executed agreement between the purchaser and with Uriel Corporation® (DBA: Epic Ventures™) that states otherwise.

7.3. Payment for access to the Services and the Products shall be at prices as agreed upon between you and Uriel Corporation® (DBA: Epic Ventures™). Uriel Corporation® (DBA: Epic Ventures™) offers multiple service plans and or Products and or Services for users with different fees, for different deliverables, and or for different functionality features that are designed for each plan, service, or products that are made available (the “Service Plan” or the “Service Plans”) as specified in Pricing Section(s) on Uriel Corporation® (DBA: Epic Ventures™) Websites.

7.4. Consulting, Mentoring, Advisory, and or other Agreements entered into between you and Uriel Corporation® (DBA: Epic Ventures™) and or with Uriel Corporation® (DBA: Epic Ventures™)’s independent contractors, consultants, mentors, advisors, affiliates, and or third parties are subject to the terms of this site and to the terms and conditions that are stated in all written executed agreements between the parties.

7.5. The parties that enter into agreements with Uriel Corporation® (DBA: Epic Ventures™) and or with Uriel Corporation® (DBA: Epic Ventures™)’s independent contractors, consultants, mentors, advisors, affiliates, and or third parties agree to work together in good faith on a best-efforts basis.

7.6. Delivery and or the beginning of the Services and the Products, if any, shall be made after payment is received. All fees are exclusive of taxes, levies, or duties imposed by taxing authorities, unless stated otherwise. You are responsible for paying any such applicable tax.
You acknowledge that the amount billed for Service Plan, Services or Products may vary for reasons that include promotional offers, changes in the User Account, or changes in the amount of applicable sales tax/VAT/GST etc., and you authorize us to bill you for such varying amounts.

7.7. Payment for access to Third Party Materials (as defined in Section 9 of these Terms of Service) shall be made to third parties, if applicable, unless otherwise stated herein. 7.8. You agree that if you purchase any subscription, products, or other services, Uriel Corporation® (DBA: Epic Ventures™) may organize and put together a team and or recommend certain services, corporate staff, and or consultants, mentors, and or advisors, to work with you concerning your projects as shall be specified in written executed agreements between Uriel Corporation® (DBA: Epic Ventures™), its corporate staff, consultants, mentors, advisors and or its affiliates and you.

Term and Termination.

8.1. The term of these Terms of Service shall begin when you start using the Websites, the Services, or the Products and shall continue in perpetuity so long as you continue to use the Website, the Services, or the Products, unless otherwise terminated by Uriel Corporation® (DBA: Epic Ventures™) or by you by written notice.

9.1h By using any of the Communication tools You instruct Uriel Corporation® (DBA: Epic Ventures™) to:
(1) store personal data, specified by You by entering such data in the Communication tools interface and related to a recipient of Your messages (End recipient).
(2) transfer (when required for operation of a specific Communication tool) End recipient personal data to legal entities (Service providers), for the latter to perform routing and delivery of Your messages. Data transfer to a Service provider is performed using API and stops when this data is received.

9.1i You accept and agree that the Contact Center and the Communication Tools are not intended for publishing, demonstrating, transmitting or otherwise making available any texts, images and other items (further - Content), which may be deemed as:

violating or attempting to violate any national and international law;
infringing Our or third parties’ intellectual property rights and trademarks, privacy rights, rights to information comprising commercial secrets, disclosing business confidential information, prejudicing honor, business reputation and dignity of third parties;
unlawful, harmful, threatening, defamatory, libelous, inciting to violence, calls for a commission of illegal activities, clarifies the procedure for the use of explosives and other weapons, breaks the standard moral standards and ethical norms, obscene, promoting hatred and/or discrimination;
incendiary, racist, harassing, abusive, offensive, deceptive or fraudulent, encouraging criminal or harmful conduct, containing negative and critical remarks regarding religion, politics, race, ethnicity, gender, personal characteristics, abilities;
advertising of gambling and betting, escort services, as well as similar sexual services;
propagandizing extremist religious or political views;
propagandizing use of illegal substances;
damaging to Our reputation and goodwill or one which may bring Us into disrepute or harm.

9.1j By using the Contact Center and or the Communication Tools, you confirm that:
(1) you are an Administrator or user authorized by an active Administrator or user, acting on an Administrator’s behalf;
(2) follow relevant laws of Your country (Applicable Law) when processing the End recipient personal data;
(3) have legal basis for transferring End recipient personal data to Uriel Corporation® (DBA: Epic Ventures™) and Service providers for subsequent message forwarding by the latter;
(4) Uriel Corporation® (DBA: Epic Ventures™) does not modify Your Content in any way, does not initiate such Content, does not initiate forwarding messages from You to End recipients and from End recipients to You, does not and should not have any knowledge of the possible illegitimacy of the Content. Any use of the Contact Center is at Your own risk and under Your own responsibility. If You have any doubts as to the legitimacy of any Content distribution, we recommend You receive professional advice from the relevant specialists before starting using the Contact Center or the Communication Tools.

9.1k You undertake to:

follow Applicable Law for the entirety of the period of the Contact Center use;
do not engage into illegal activities such as phishing, or perform any illegal actions for data collection;
do not distribute malicious software or files, including viruses, “worms”, “trojans”, spyware or similar software.

     9.1L You guarantee, that any Content You distribute is received in compliance with Applicable Law.

     9.1m We reserve the right to block or limit the use of the Contact Center / Communication tools at Our sole discretion, including if there are reasons to believe that You are violating the aforementioned obligations and guarantees. We have the right to conclude at Our sole discretion about Your violation of any of the aforementioned obligations and guarantees, based on the information we have, including from a user or any third-party complaint. You are obligated to provide us with refutations of such violations at our demand.

     9.1n Uriel Corporation® (DBA: Epic Ventures™) has the right to unilaterally modify this document by posting the updated text on the Internet.

9.2. Uriel Corporation® (DBA: Epic Ventures™) may also provide links to other websites and/or third-party products and services, that are not under the control of Uriel Corporation® (DBA: Epic Ventures™), including, but not limited, the Telephony, VMA, services available through the Uriel Corporation® (DBA: Epic Ventures™) Marketplace, (as explained below, and together, “Third Party Materials”). Hereby, you acknowledge and agree that any third party which provides any Additional functions or Third Party Materials may suspend or discontinue any their products and services on its own discretion at any time without notice, which will result in disabling of corresponding features or services. In any case Uriel Corporation® (DBA: Epic Ventures™) has no liability for such suspension or discontinuation.

9.3. If your Uriel Corporation® (DBA: Epic Ventures™) Customer Account is terminated or suspended for any reason, you may not be able to use the services, products, or programs provided by Uriel Corporation® (DBA: Epic Ventures™), or by its corporate staff, its consultants, mentors, its advisors and or affiliates.

9.4. You hereby acknowledge and agree that if you do not make timely payments for products and or services that your products and or services may be canceled by Uriel Corporation® (DBA: Epic Ventures™) without any obligation or liability to Uriel Corporation® (DBA: Epic Ventures™), or without any obligation or liability to Uriel Corporation® (DBA: Epic Ventures™)’s corporate staff, consultants, advisors, mentors, and or to Uriel Corporation® (DBA: Epic Ventures™)’s affiliates.

9.5. Uriel Corporation® (DBA: Epic Ventures™) is not responsible in any way for the Third-Party Materials and or for Third Party representations. All users of Uriel Corporation® (DBA: Epic Ventures™)’s Websites must always perform their own due diligence before entering into relationships and or agreements with anyone.

9.6. Using the Websites, the Services, and the Products does not give you ownership of any intellectual property rights to the images supplied through the Website, the Services, and the Products (the “Licensed Images”) you access. You may not use Licensed Images or content from the Website, the Services, and the Products unless you purchase licensing rights directly from its owner.

Uriel Corporation® (DBA: Epic Ventures™) Marketplace is provided solely as an online venue for users and Sellers, and for Uriel Corporation® (DBA: Epic Ventures™) to provide services and products to those that wish to purchase services and or products directly from Uriel Corporation® (DBA: Epic Ventures™).

You hereby acknowledge and agree that for products and or services that are purchased from sellers on the Uriel Corporation® (DBA: Epic Ventures™) Websites that:

9.7.4. Uriel Corporation® (DBA: Epic Ventures™) disclaims any proprietary interests in the intellectual property rights other than the Uriel Corporation® (DBA: Epic Ventures™)’s Intellectual Property, and it disclaims any proprietary interests in the Intellectual Property rights of its Clients, Customers, its Consultants, Mentors, Advisors, and as such might relate to Third Party Project Information unless there is a written and executed agreement in force between the parties that states otherwise.

11.3. You know and agree that we will need to upload your content to our platform, including cloud services and CDN's, to make display adjustments and perform any other technical actions required.

Any action brought against Uriel Corporation® (DBA: Epic Ventures™) pertaining to or in connection with its Websites, the Services, and the Products must be commenced and notified to Uriel Corporation® (DBA: Epic Ventures™) in writing within one (1) year after the date the cause for action arose.

Notwithstanding anything to the contrary in the foregoing, in no circumstances may Uriel Corporation® (DBA: Epic Ventures™) be considered as a “publisher” of any User Content or Project Information, does not in any way endorse any User Content or Project Information, and assumes no liability for any User Content or Project Information uploaded, posted, published and/or made available by any user or any other party on and/or through its Websites, the Services, and the Products, for any use by any party, or for any loss, deletion or damage thereto or thereof or any loss, damage, cost or expense that you or others may suffer or incur as a result of or in connection with publishing, accessing and/or relying on any User Content. Your Warranties.

You hereby warrant that: (i) all information provided by you to Uriel Corporation® (DBA: Epic Ventures™) in connection with Uriel Corporation® (DBA: Epic Ventures™)’s Websites, the Services, and the Products is true, accurate, correct, and up to date; (ii) you have full power and authority to enter into these Terms of Service including when you acting on behalf of a legal entity; (iii) you are of legal age to form a binding contract with Uriel Corporation® (DBA: Epic Ventures™); (iv) you will seek all necessary governmental approvals required to effectuate these Terms of Service; (v) you shall perform all of your obligations under these Terms of Service in accordance with applicable laws; and (vi) your editorial, text, graphic, audiovisual, and other content that is available to end users of Uriel Corporation® (DBA: Epic Ventures™)’s Websites, the Services, and the Products and that is not provided by Uriel Corporation® (DBA: Epic Ventures™) do not (1) infringe any intellectual property rights of any third party, (2) constitute defamation, libel or obscenity, (3) result in any consumer fraud, product liability, breach of contract to which you are a party or cause injury to any third party, (4) promote violence or contain hate speech, (5) violate any applicable law, statute, ordinance, or regulations, or (6) contain adult content or promote illegal activities.

Export Control and Compliance with Laws.

Customer acknowledges and agrees that the Website, the Services, and the Products may not be exported or re-exported (i) into (or to a national or resident of) U.S.-embargoed country or region (currently: Crimea Region of Ukraine and Covered Regions of Ukraine - Donetsk People's Republic (DNR) and Luhansk People's Republic (LNR), Cuba, Iran, North Korea, and Syria) or any other embargoed and restricted countries or territories; or (ii) to any blocked or denied person, or prohibited end-user under OFAC’s list of Specially Designated Nationals, EAR’s lists or the EU regulations. Uriel Corporation® (DBA: Epic Ventures™) reserves the right to restrict access to its Websites, the Services, and the Products at any time without notice in accordance with such laws and regulations.

Copyright Infringement.

15.1. It is Uriel Corporation® (DBA: Epic Ventures™)’s policy to respond to notices of alleged copyright infringement that comply with applicable international intellectual property law (including, in the United States, the Digital Millennium Copyright Act). If you believe that your work has been copied in a way that constitutes copyright infringement, please provide Uriel Corporation® (DBA: Epic Ventures™) Copyright Agent with the written information specified below. (Please note that this procedure is exclusively for notifying Uriel Corporation® (DBA: Epic Ventures™) that your copyrighted material has been infringed.)
a. An electronic or physical signature of the copyright owner or the person authorized to act on behalf of the owner of the copyright interest;
b. A description of the copyrighted work that you claim has been infringed upon;
c. A description of where the material that you claim is infringing is located on the Website;
d. Your address, telephone number, and email address;
e. A statement by you that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

In compliance with the Digital Millennium Copyright Act, Uriel Corporation® (DBA: Epic Ventures™) at its own discretion may terminate the User Accounts of those about whom Uriel Corporation® (DBA: Epic Ventures™) has received more than one takedown notification that resulted in the permanent removal of such User Content (the “Repeat Infringers”). You hereby acknowledge and agree that Uriel Corporation® (DBA: Epic Ventures™) expressly reserves the right to terminate User Accounts if, in its sole discretion, Uriel Corporation® (DBA: Epic Ventures™) believes that the User Account infringes third-party intellectual property rights, including the User Accounts of the Repeat Infringements.

17.2. Uriel Corporation® (DBA: Epic Ventures™) reserves the right to modify and/or delete any message submitted to the Publicly-Edited Sections, at its sole discretion, at any time and for any reason, including, but not limited to, material which in Uriel Corporation® (DBA: Epic Ventures™) ’ opinion:
a. may constitute libel, defamation, invasion of privacy, or is obscene, pornographic, abusive, or threatening;
b. may infringe any intellectual property or other right of any entity or person;
c. may violate any applicable law or advocates illegal activity;
d. advertises or otherwise solicits funds or is a solicitation for goods, services, advertisers or sponsors or otherwise engages in commercial activity;
e. disrupts the normal flow of dialogue or otherwise acts in a way which affects the ability of other people to engage in real time activities via Uriel Corporation® (DBA: Epic Ventures™)’s Websites;
f. includes programs which may contain viruses, worms, trojan horses or other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunication;
g. violates any policy or regulation established from time to time regarding use of the Website, the Services, and the Products or any networks connected to Uriel Corporation® (DBA: Epic Ventures™)’s Websites; or
h. contains links to other sites that contain the kind of content which falls within the descriptions set out in (a) to (g) above.

Unlawful or Prohibited Use.

18.1. You may not use Uriel Corporation® (DBA: Epic Ventures™)’s Websites, the Services, and the Products for any purpose that is unlawful, prohibited by these Terms of Service, or in any way interferes or attempts to interfere with the proper working of the Websites, the Services, and the Products. You may not use the Websites, the Services, and the Products in any manner that could damage, disable, overburden, or impair the Websites, the Services, and the Products, or that interferes with any third party’s use and enjoyment of the Websites, the Services, and the Products. You agree that you:
a. will not use any third-party software that intercepts, “mines,” or otherwise collects information from or through the Website, the Services, and the Products;
b. will not institute, assist, or become involved in an attack upon any Uriel Corporation® (DBA: Epic Ventures™) server or otherwise attempt to disrupt the Uriel Corporation® (DBA: Epic Ventures™) servers, which would be a violation of criminal and civil laws; and should such an attempt be made or assistance for such an attack be provided, Uriel Corporation® (DBA: Epic Ventures™) reserves the right to seek damages from any such user to the fullest extent permitted by law;
c. will not submit, transmit or display any disparaging information about Uriel Corporation® (DBA: Epic Ventures™), the Website, the Services, and the Products or any third party in a context, which may be deemed as defamatory, libelous, obscene, harassing, threatening, incendiary, abusive, racist, offensive, deceptive or fraudulent, encouraging criminal or harmful conduct, discriminates against, or is in any way defamatory of, any person, group, or class of persons; race; gender; religion; nationality; disability; sexual orientation; or age; or which otherwise violates the Uriel Corporation® (DBA: Epic Ventures™) ’s Intellectual Property or the rights of any third party; and
d. will not upload to the Websites, to the Services and to the Products or otherwise use them to design, develop, distribute and/or otherwise transmit or execute, any virus, worm, Trojan Horse, time bomb, web bug, spyware, malware, or any other computer code, file, or program that may or is intended to damage or hijack the operation of any hardware, software, or telecommunications equipment, or any other actually or potentially harmful, disruptive, or invasive code or component; and
e. will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Uriel Corporation® (DBA: Epic Ventures™)’s Services or Uriel Corporation® (DBA: Epic Ventures™)'s systems or networks connected to the Uriel Corporation® (DBA: Epic Ventures™) Services, or otherwise interfere with or disrupt the operation of any of the Uriel Corporation® (DBA: Epic Ventures™) Services, or the servers or networks that host them or make them available, or disobey any requirements, procedures, policies, or regulations of such servers or networks.
f. will not use the Website, the Services, and the Products in connection with any form of spam, unsolicited mail, fraud, scam, phishing, “chain letters,” “pyramid schemes” or similar conduct, or otherwise engage in unethical marketing or advertising.

18.2. If you violate any provision of these Terms of Service, or engage in any other behavior Uriel Corporation® (DBA: Epic Ventures™) deems abusive or inappropriate, Uriel Corporation® (DBA: Epic Ventures™) may take action against your Uriel Corporation® (DBA: Epic Ventures™) Customer Account or your Uriel Corporation® (DBA: Epic Ventures™) Sites. Uriel Corporation® (DBA: Epic Ventures™) reserves the right to remove any User Content, Project Information and suspend your Uriel Corporation® (DBA: Epic Ventures™) Customer Account or your Uriel Corporation® (DBA: Epic Ventures™) Sites without any refund of any amounts paid for the Website, the Services, and the Products, without notice, at any time and for any reason. Uriel Corporation® (DBA: Epic Ventures™) reserves the right to enforce, or not enforce, these Terms of Service in its sole discretion.

Indemnification.

You hereby agree to indemnify and hold harmless Uriel Corporation® (DBA: Epic Ventures™) , its affiliates, licensors and licensees, its officers, directors, agents, and employees, from any expense, loss, claim, damage, fine, penalty or liability, including reasonable fees for attorneys and other professionals, payable under any judgment, verdict, court order or settlement, to the extent resulting from any claim, demand, action, suit, arbitration, or other proceeding initiated by any third party, including the assessment, claim or demand by a governmental agency or entity, arising out of your breach of these Terms of Service.

20. Linking to Uriel Corporation® (DBA: Epic Ventures™)’s Website.

Linking to the Website is permitted provided that you comply with the following rules. You may link to the home page of the Website or to any other page of the Website. However, you are not allowed to use in-line linking (or hot-linking) or framing. You must not imply that Uriel Corporation® (DBA: Epic Ventures™) endorses or sponsors the linker or its websites, projects, products, or services. You must not use the Uriel Corporation® (DBA: Epic Ventures™)’s Intellectual Property without advance written permission from Uriel Corporation® (DBA: Epic Ventures™). Furthermore, you agree to remove any and all links at any time upon Uriel Corporation® (DBA: Epic Ventures™)’s request.

Suspension and Deletion of the Uriel Corporation® (DBA: Epic Ventures™) Customer Account.

21.1. A user or a user Administrator simply needs to log in to their account to utilize or access the products, services, and or to benefit from the Uriel Corporation® (DBA: Epic Ventures™) websites. Services and or products are subject to certain fees and prices that may change from time to time without notice.

21.2. Uriel Corporation® (DBA: Epic Ventures™) reserves the right to suspend the Uriel Corporation® (DBA: Epic Ventures™) Customer’s Account (temporarily limit access to User Accounts and Administrator Accounts) on the occurrence of any of the following:

21.2.1. if you fail to comply with terms of these Terms of Service or other requirements described herein;

21.2.2. if you become inactive where you do not collaborate with, or you do not purchase products and or services from Uriel Corporation® (DBA: Epic Ventures™), its staff, or its consultants, mentors, advisors, and or services providers for a year after you become a subscriber.

21.3. To restore access to the Uriel Corporation® (DBA: Epic Ventures™) Customer Accounts that have been suspended based on Section 21.2.2. of these Terms of Service, you should re-subscribe and re-establish a new customer account/subscription. You should sign up and register for a subscription plan that has the features you need or want to engage Uriel Corporation® (DBA: Epic Ventures™) for the services and or the products you desire to benefit from the features and limits found in each available plan.

21.4. Uriel Corporation® (DBA: Epic Ventures™) reserves the right to delete your Uriel Corporation® (DBA: Epic Ventures™) Customer Account and all the data connected, including your User Content, and Project Information upon 50 calendar days after suspension of your Uriel Corporation® (DBA: Epic Ventures™) Customer Account (as defined in Section 21.2. of these Terms of Service) without the possibility of recovering any data. In this case, the domain name, user ID, or project number(s) of the deleted Uriel Corporation® (DBA: Epic Ventures™) Customer Account becomes available for assignment to other customer accounts. Uriel Corporation® (DBA: Epic Ventures™) is not liable for any damage, liabilities, losses (including any loss of data or profits) or any other consequences that you may incur in connection with such actions.

21.5. The Administrator may initiate deletion of the Uriel Corporation® (DBA: Epic Ventures™) Customer Account by first dismissing other Administrators, if any, which will entail deletion of all the connected User Accounts and all connected User Content, subject to the availability of such feature. In this case, the Uriel Corporation® (DBA: Epic Ventures™) Customer Account will be made inactive immediately and completely deleted over the course of 90 (ninety) calendar days.

Assignment.

Uriel Corporation® (DBA: Epic Ventures™) may assign or delegate these Terms of Service, in whole or in part, to any person or entity at any time subject to prior notification. You, however, may not assign or delegate any rights or obligations under these Terms of Service without Uriel Corporation® (DBA: Epic Ventures™)’s prior written consent, and any unauthorized assignment and delegation by you is void and ineffective.

Agreement to Deal Electronically.

All transactions and communications pertaining to the Website, the Services, and the Products can be conducted and executed electronically. We may keep records of any type of communication conducted via the Website. All electronic records are deemed sent when they are properly addressed to the recipient and the record enters an information processing system outside the control of the sender or the record enters a region of an information processing system under the recipient’s control. All electronic records are received when the record enters an information processing system that the recipient has designated or uses for the purpose of receiving electronic records or information of the type sent, in a form capable of being processed by that system, and from which the recipient is able to retrieve the electronic record.

Injunctive Relief.

You acknowledge and agree that any violation or breach of these Terms of Service may cause Uriel Corporation® (DBA: Epic Ventures™) immediate and irreparable harm and damages. As a result, Uriel Corporation® (DBA: Epic Ventures™) has the right to, and may in its discretion, immediately obtain preliminary injunctive relief (including, without limitation, temporary restraining orders) and seek permanent injunctive relief regarding any violation or breach of these Terms of Service. In addition to any and all other remedies available to Uriel Corporation® (DBA: Epic Ventures™) in law or in equity, Uriel Corporation® (DBA: Epic Ventures™) may seek specific performance of any term in these Terms of Service.

Severability.

These Terms of Service will be enforced to the fullest extent permitted by applicable law. If for any reason any provision of these Terms of Service are held to be invalid or unenforceable under applicable law to any extent, then (a) such provision will be interpreted, construed, or reformed to the extent reasonably required to render the same valid, enforceable, and consistent with the original intent underlying such provision and (b) such invalidity or unenforceability will not affect any other provision of these Terms of Service.

Data Protection.

26.1. All Personal information that Uriel Corporation® (DBA: Epic Ventures™) may use will be collected, processed, and be held confidential unless disclosures need to be made to federal or state authorities who have a right by law to request and receive such information.

26.2. Please read Uriel Corporation® (DBA: Epic Ventures™)’s “Privacy Policy”, which describes how Uriel Corporation® (DBA: Epic Ventures™) collects, uses, discloses, manages and stores users’ Personal Information.

26.3 Uriel Corporation® (DBA: Epic Ventures™) processes and transmits user Personal and Project Data through various communication platforms, emails, telephony, Zoom Meetings, SKYPE communications, SLACK, Airtable, and or through other platforms which may or may not be 100% secure. Users agree not to hold Uriel Corporation® (DBA: Epic Ventures™) responsible for any leak or breach of confidential data. Users, clients, customers, consultants, mentors, advisors, affiliates, and or third parties agree to indemnify Uriel Corporation® (DBA: Epic Ventures™) from any loss that might occur from any and all breaches of confidentiality, from conflicts of interest, and or from leaks of information that may move third parties to compete against Users, clients, customers, consultants, mentors, advisors, affiliates, and or third parties, that might be moved to compete against them, against their business, personal, financial, or other interests.

26.4 You are responsible for and must secure all necessary notices, permissions, and consents to collect, use, and share people's content and information, including maintaining a published privacy policy, and otherwise complying with applicable law.

26.5 If you are a visitor, user or customer of any of our users, and would like to make any requests or queries regarding your Personal Information, please contact such user(s) directly. For example, if you wish to access, correct, amend, or delete inaccurate information processed by Uriel Corporation® (DBA: Epic Ventures™) on behalf of its users, please direct your query to the relevant User (who is the "Controller" of such data). If requested to remove any users-of-users Personal Information, we will respond to such request within thirty (30) days.

26.6. If you choose to access, install, download, or purchase Third Party Materials, Digital Products, Software, Books, E-Books, Products, or Services provided by Marketplace Sellers or Marketplace Service Providers, these Sellers will also collect, hold, and process your Personal information in the course of transactions (for example, your name, email address, and postal address).

26.7. Users must only use the personal data of other users to the extent necessary to complete a transaction, to communicate about a specific transaction, to communicate via our Marketplace, and/or to respond to messages from them. You may not add any user to a mailing list, use their data for marketing, or retain any payment details. You may only use another user’s personal data for additional purposes with their consent.

Feedback.

You may from time to time provide suggestions, comments, or other feedback to Uriel Corporation® (DBA: Epic Ventures™) with respect to Uriel Corporation® (DBA: Epic Ventures™)’s Websites, the Products, or the Services (hereinafter “Feedback”). You agree that all Feedback is and shall be entirely voluntary and shall not, absent separate agreement, create any confidentiality obligation for Uriel Corporation® (DBA: Epic Ventures™). Uriel Corporation® (DBA: Epic Ventures™) shall be free to disclose and use such Feedback as it sees fit, entirely without obligation of any kind to you. The foregoing shall not, however, affect either party’s obligations hereunder with respect to the information protected pursuant to the Privacy Policy.

Applicable Law.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Illinois without regard to its conflict of laws rules. You agree to the exclusive jurisdiction of the courts of the State of Illinois for any claim or cause of action arising out of, or relating to or in connection with these Terms of Service or the Websites, the Services, and the Products of Uriel Corporation® (DBA: Epic Ventures™).

Class Action Waiver.

EACH PARTY HERETO WAIVES ANY RIGHT TO ASSERT ANY CLAIMS AGAINST THE OTHER PARTY, AS A REPRESENTATIVE OR MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION, EXCEPT WHERE SUCH WAIVER IS PROHIBITED BY LAW OR IS AGAINST PUBLIC POLICY. If any of the foregoing provisions is determined by a court or arbitrator to be inapplicable or unenforceable with respect to a dispute, you and we agree that, subject to the foregoing arbitration provisions, jurisdiction over and venue of any suit will be exclusively in the courts of the State of Illinois.

Uriel Corporation® (DBA: Epic Ventures™) will not seek attorney’s fees and costs, unless the court determines that your claims are frivolous. Unless the arbitration rules and/or applicable law provide otherwise, you are responsible for your own attorneys' fees.

Force Majeure.

Except for any payment obligations, neither party will be responsible for failure or delay to perform any obligation under these Terms of Service to the extent such failure is caused by a force majeure event (including an act of war, civil disturbance, hostility, strike, or sabotage; natural disasters, act of God; electrical, internet, or telecommunication outage that is not caused by the obligated party; government restrictions of action by governmental entity; or other event outside the party’s the reasonable control). The party affected by the force majeure event will provide notice to the other party within a commercially reasonable time and will use commercially reasonable efforts to mitigate the effect of a force majeure event. If possible, obligations not performed due to a force majeure event will be performed as soon as reasonably possible when the force majeure event concludes.
